Terms and Conditions – Loyalty Program

1.  Promoter

The Promoter of the ProteoGenix Loyalty Program (the “Program”) is ProteoGenix, having its registered office at 19 rue de la Haye, 67300 Schiltigheim France (the “Promoter”).

2. Purpose of the Program

The Program is designed to reward eligible customers for their purchases and engagement with ProteoGenix through a points-based loyalty system. Points may be redeemed for discount coupons or selected promotional items, subject to the conditions set out below.

3. Eligibility

The Program is open to individuals aged eighteen (18) years or older who are acting on behalf of a company or institution and are legally permitted to receive promotional benefits under applicable laws, regulations, and internal policies.

Employees of the Promoter, its affiliates, subsidiaries, and agencies are not eligible to participate.

Participation is void where prohibited by law or institutional policy.

Il appartient au Participant de vérifier qu’il est autorisé par les politiques internes de son employeur et par les lois en vigueur à bénéficier des avantages du Programme. Les récompenses (coupons ou articles promotionnels) sont destinées à un usage professionnel au sein de l’entité cliente. Le Promoteur décline toute responsabilité en cas de violation des règles d’éthique ou de conformité propres à l’institution du Participant.

The Program is open to individuals of legal age acting on behalf of a company or institution. It is the Participant’s sole responsibility to ensure that their participation, and the receipt of any rewards, complies with their employer’s internal policies, as well as all applicable laws and regulations. Rewards (including discount coupons and promotional items) are intended exclusively for professional use within the client’s entity. The Promoter hereby disclaims any and all liability arising from the Participant’s breach of any ethical rules or compliance policies specific to their institution.

4. Enrollment

Participation in the Program requires the creation of a ProteoGenix customer account. By enrolling in the Program, participants agree to be bound by these Terms and Conditions.

Participation in the Program is free and voluntary.

5. Earning Points

Points are earned based on qualifying actions, including but not limited to purchases, subject to limits and conditions defined by the Program.

Points are calculated based on the net order value, excluding VAT, shipping, customs duties, and handling fees.

ProteoGenix reserves the right to adjust point allocation rules at any time.

6. Rewards and Redemption Conditions

Points may be redeemed for the following rewards, subject to availability and conditions:

7. Discount Coupons

Discount coupons:

• Are non-transferable, non-refundable, and not redeemable for cash
• Can be combined with other discount codes or promotions unless explicitly stated

Coupons apply only to eligible ProteoGenix products and services as determined by the Promoter.

Les coupons de réduction sont non transférables et ne peuvent être utilisés que sur le compte client ayant généré les points. Un seul coupon de fidélité peut être utilisé par commande. Le Promoteur se réserve le droit d’exclure certains produits ou services spécifiques de l’application des coupons (par exemple : promotions en cours, frais de port, ou services sur mesure spécifiques). Le coupon doit être saisi au moment du paiement et ne peut être appliqué rétroactivement.

Discount coupons are non-transferable and may only be redeemed through the specific customer account that earned the points. Only one loyalty coupon may be applied per order. The Promoter reserves the right to exclude specific products or services from coupon eligibility (e.g., items already on promotion, shipping and handling fees, or specific custom services). Coupons must be entered at the time of checkout and cannot be applied retroactively to previously placed orders.

8. Promotional Items

Promotional items (e.g. posters, goodies, T-shirts):

• Are subject to availability
• Have no cash alternative
• May be substituted by an item of equal or greater value at the Promoter’s discretion
• Will be shipped within a reasonable timeframe after redemption

The Promoter is not responsible for delays caused by incorrect shipping information, customs procedures, or events beyond its control.

9. Points Validity

Points have no cash value and may not be transferred, sold, or exchanged.

ProteoGenix reserves the right to impose expiration rules on points (e.g. rolling validity period) or to cancel unused points in the event of account inactivity or program termination.

Les points n’ont aucune valeur marchande et ne sont pas convertibles en espèces. Sauf mention contraire, les points acquis sont valables pour une durée de 24 mois à compter de la date de l’action qualifiante (ex: achat). À l’issue de cette période, les points non utilisés seront automatiquement supprimés sans préavis ni compensation. En cas de fermeture du compte par le client, les points accumulés sont définitivement perdus.

 

Points have no cash value and are not redeemable for cash or any other monetary compensation. Unless otherwise stated, earned points are valid for a period of 24 months from the date of the qualifying action (e.g., purchase). Upon the expiration of this period, unused points will be automatically removed from the Participant’s account without prior notice or compensation. In the event of account closure by the customer, all accumulated points shall be immediately and permanently forfeited.

10. Verification and Abuse

ProteoGenix reserves the right to verify all transactions and redemptions.

Any misuse, fraud, or attempt to manipulate the Program may result in:

• Cancellation of points
• Revocation of rewards
• Suspension or termination of the customer account

11. Modification or Termination

ProteoGenix reserves the right to modify, suspend, or terminate the Program or these Terms and Conditions at any time, for any reason, without prior notice.

Changes will be effective upon publication on the ProteoGenix website.

12. Limitation of Liability

To the fullest extent permitted by law, the Promoter shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program or the use of any reward.

Nothing in these Terms limits liability for fraud, gross negligence, or mandatory statutory rights.

13. Data Protection

Personal data collected in connection with the Program will be processed in accordance with applicable data protection laws and the ProteoGenix Privacy Policy.

Data will be used solely for Program administration, reward fulfillment, and related communications.

14. Governing Law

These Terms and Conditions are governed by the laws of Delaware.

Any dispute arising in connection with the Program shall be subject to the exclusive jurisdiction of the competent courts.

Pour les clients résidant en Europe : Les présentes conditions sont régies par le droit français. Tout litige sera soumis à la compétence exclusive des tribunaux de Strasbourg, France.

Pour les clients résidant aux États-Unis : Les présentes conditions sont régies par les lois de l’État du Delaware. Tout litige sera soumis à la compétence des tribunaux compétents dudit État. En cas de divergence entre la version française et la version anglaise de ces termes, la version anglaise fera foi pour les clients US.

For Customers Residing in Europe: These Terms and Conditions shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with the Program shall be subject to the exclusive jurisdiction of the competent courts of Strasbourg, France.

For Customers Residing in the United States: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding related to the Program shall be brought exclusively in the state or federal courts located in the State of Delaware. In the event of any discrepancy or inconsistency between the French version and the English version of these Terms, the English version shall prevail and take precedence for all customers residing in the United States.

15. Acceptance

By participating in the ProteoGenix Loyalty Program, participants acknowledge that they have read, understood, and agreed to these Terms and Conditions.
